Nature of the activity and legal status
Pulse Investment Club is a private investment club. It operates exclusively in the form of a real estate club deal intended for a restricted circle of private investors identified in advance, within the framework of direct and personal relationships.
The real estate projects offered are structured through Pulse Property Management Services LLP, an investment vehicle governed by English law and domiciled in the United Kingdom, which pools the contributions of the co-investors and manages the financial flows relating to each operation.
Co-investors participate in each project by means of a Funding Agreement — a private financing instrument with variable remuneration indexed to the performance of the real estate asset concerned — issued by the LLP and allocated exclusively to the project in question.
No offer to the public — private nature of the operations
In accordance with the exemptions provided for by English law (Financial Services and Markets Act 2000 — FSMA 2000) and the provisions of EU Prospectus Regulation 2017/1129 (article 1(4)(b) — offers addressed to fewer than 150 persons per Member State, and article 1(4)(a) — offers reserved for qualified investors), the activities of Pulse Investment Club are organised so as to remain strictly within the applicable exemption regimes.
Pursuant to article L.411-2 of the French Monetary and Financial Code and the AMF General Regulation, offers are addressed to a restricted circle of investors acting on their own account. The number of co-investors per operation is limited to ten persons, below the thresholds triggering the obligation to publish a prospectus or obtain AMF approval.
Pulse Property Management Services LLP is registered under English law in accordance with the Limited Liability Partnerships Act 2000. The Funding Agreements are unlisted private debt instruments, not subject to prospectus obligations under the post-Brexit UK Prospectus Regulation. The LLP is not authorised by the Financial Conduct Authority (FCA) to carry on regulated activities within the meaning of FSMA 2000.
Applicable legal framework
The law of England and Wales (jurisdiction of incorporation and domicile of the LLP). The Funding Agreements are drafted and performed in accordance with English law.
The courts of England and Wales have jurisdiction over any dispute relating to the Funding Agreements and the operations of the LLP, unless otherwise specifically agreed in a contract between the parties.
In accordance with the UK Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017, each co-investor is subject to an identity verification procedure (KYC) prior to any participation. Pulse reserves the right to refuse or suspend any subscription in the event of non-compliance.
The LLP is tax-transparent in the United Kingdom: it is not liable to corporation tax. Income from the Funding Agreements must be declared by the holders in their country of tax residence. A 10% withholding tax applies to flows from Sri Lanka. Each co-investor is solely responsible for their own personal tax obligations.
Eligible investors — restricted access
Participation in the operations of Pulse Investment Club is strictly reserved for natural persons of legal age acting privately on their own account, with the necessary legal capacity, sufficient knowledge of real estate markets and alternative investments, and the ability to bear capital being tied up for the entire duration of the project as well as a partial or total loss of the capital invested.

The main risks associated with the operations of Pulse Investment Club include, without being limited to:
Real estate and construction risk — delays or budget overruns, construction defects, regulatory changes in Sri Lanka.
